TERMS & CONDITIONS / TERMS OF USE

Effective Date: 3 October 2026

These Terms & Conditions (“Terms”) govern access to and use of the ELCALC mobile application, website, software, tools, features and related services (“Platform”) provided by Tesla Consulting Engineers (“Company”, “we”, “us” or “our”).

By registering with, accessing, testing, purchasing, subscribing to or using the Platform, the person accessing the Platform (“User”, “you” or “your”) confirms that you have read, understood and agreed to these Terms.

1. Nature and Purpose of ELCALC

ELCALC is an electrical calculation and design assistance Platform through which Users may provide project requirements, technical specifications, load details, equipment information and other relevant inputs, based on which the Platform generates electrical calculations, designs, reports, recommendations or related outputs.

The Platform is intended as a technical assistance and calculation tool. It is not intended to replace independent professional engineering judgment, site inspection, technical verification, approval, certification or supervision wherever such review or approval is required by law, regulation, professional practice or the requirements of any competent authority.

2. User-Provided Information

The accuracy and usefulness of the outputs generated through ELCALC depend substantially upon the information supplied by the User.

The User shall be solely responsible for ensuring that all information, specifications, dimensions, load details, equipment details, site conditions, project requirements and other information supplied to the Platform are complete, accurate, current and appropriate for the intended purpose.

The Company shall not be responsible for any error, omission, discrepancy, unsuitable result or consequence arising from inaccurate, incomplete, outdated or incorrect information supplied by the User.

3. Basis of Calculations and IS Codes

Calculations and designs generated through the Platform may be based upon applicable Indian Standards (“IS Codes”), technical standards, engineering parameters, formulae, technical information and other data incorporated into or relied upon by the Platform at the relevant time.

The User acknowledges that IS Codes, regulations, standards, specifications and technical requirements may be amended, revised, replaced, withdrawn or supplemented from time to time.

Although the Company may endeavour to update ELCALC periodically, the Company does not warrant that every output generated through the Platform will always reflect the latest amendment, revision or modification of every applicable IS Code, regulation, standard or technical requirement.

4. Responsibility for Latest Standards and Compliance

The User shall independently verify the IS Codes, standards, regulations, statutory requirements and technical requirements applicable to the particular project before relying upon, implementing, submitting or using any output generated through ELCALC.

Where a standard or requirement has changed after an output has been generated, the Company shall not be responsible for non-compliance, rejection, additional cost, delay, loss or liability arising from such subsequent change or from failure of the User to verify the prevailing requirements.

5. Independent Verification and Professional Review

The User shall independently verify all calculations, designs, reports and other outputs before using them for construction, installation, procurement, submission to any authority, tendering, execution or other consequential purpose.

Where professional review, approval, certification or supervision is required, the User shall obtain the same from an appropriately qualified or licensed electrical engineer, consultant, competent person or statutory authority at the User's own cost and responsibility.

6. No Guarantee of Approval or Acceptance

The Company does not warrant that an output generated through ELCALC will be accepted, approved or certified by any government authority, electricity board, statutory authority, consultant, client, contractor or other third party.

The suitability of an output for a particular project, installation, geographical condition, utility requirement, equipment, site or statutory requirement must be independently assessed by the User and, where applicable, by the relevant professional or authority.

7. Trial Period

The Company may provide access to ELCALC on a trial or evaluation basis.

The purpose of the Trial Period is to enable the User to assess the features and suitability of the Platform before purchasing a subscription.

The User shall conduct such testing and evaluation as the User considers necessary during the Trial Period.

Continuation of access after the Trial Period shall be subject to the applicable subscription plan and payment of the applicable charges.

8. Subscription and Pricing

The subscription period, features, usage limits and applicable charges shall be as displayed on the Platform or communicated by the Company at the time of purchase.

The Company may modify future subscription plans, pricing, features, usage limits and commercial terms. Changes shall ordinarily apply prospectively and shall not affect a subscription period already paid for, unless otherwise permitted by law or agreed with the User.

9. Payment

Payments for subscriptions and other paid services may be processed through Razorpay or another payment service provider made available by the Company.

The User agrees to provide accurate information necessary for processing the transaction.

The Company shall not be responsible for delays, failures or interruptions attributable solely to banks, payment service providers, payment networks or other third-party payment infrastructure, subject to applicable law.

10. AutoPay and Automatic Renewal

Where recurring subscription or automatic renewal is enabled, the User authorises the applicable payment service provider to process the renewal payment in accordance with the selected subscription plan and renewal period.

The User is responsible for cancelling or disabling automatic renewal before the applicable renewal date if the User does not wish to continue the subscription.

Cancellation of automatic renewal will ordinarily prevent future renewal and will not, by itself, entitle the User to a refund for a subscription period already commenced or paid for, subject to the Cancellation and Refund Policy and applicable law.

11. Cancellation and Refund

The Company's cancellation and refund terms are set out separately in the Cancellation and Refund Policy, which forms part of these Terms.

The User is expected to review the Cancellation and Refund Policy before making a purchase.

Except where a refund is required by applicable law or expressly approved under the Company's published refund policy, subscription payments made after completion or utilisation of the trial/evaluation facility shall be non-refundable.

12. Intellectual Property

All intellectual property rights relating to ELCALC, including software, source code, object code, algorithms, calculation methodologies, databases, interfaces, graphics, documentation, trademarks, logos, designs and other proprietary materials, shall remain vested in the Company or the relevant licensors.

Except for the limited right to use the Platform in accordance with these Terms, no ownership or intellectual property right is transferred to the User.

13. Restrictions on Use

The User shall not:

(a) copy, reproduce or commercially exploit the Platform except as expressly permitted;

(b) resell, sublicense, lease or transfer access to the Platform;

(c) reverse engineer, decompile or attempt to derive the source code or underlying algorithms;

(d) interfere with the security or operation of the Platform;

(e) obtain or attempt to obtain unauthorised access to accounts, databases, systems or networks;

(f) use the Platform for unlawful purposes; or

(g) misuse, manipulate or attempt to circumvent any subscription, usage or security restrictions.

14. Suspension and Termination

The Company may suspend, restrict or terminate access where the User breaches these Terms, fails to make applicable payments, misuses the Platform, attempts unauthorised access, engages in fraudulent conduct or otherwise uses the Platform in a manner that may adversely affect the Company, Platform or other Users.

The Company may also suspend or discontinue particular features for maintenance, security, technical improvement, legal compliance or other legitimate operational purposes.

15. Third-Party Services

The Platform may integrate with or contain links to third-party services, payment gateways, software, websites or other external services.

The Company is not responsible for the availability, functionality, security, policies or performance of third-party services, except to the extent liability cannot lawfully be excluded.

16. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, consequential, special or exemplary loss or damage, including loss of profits, business interruption, loss of contracts, loss of opportunity, project delay, additional construction or procurement costs, rejection of a design, or loss arising from changes in applicable standards.

The Company shall not be responsible for loss or damage arising from inaccurate User inputs, undisclosed site conditions, incorrect interpretation or application of an output, failure to independently verify an output, changes in IS Codes or statutory requirements, failure to obtain required approvals, or implementation without appropriate professional review.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Subject to the foregoing, the aggregate liability of the Company arising from the Platform or services shall, to the maximum extent permitted by law, be limited to the amount actually paid by the concerned User for the particular subscription or service giving rise to the claim.

17. Indemnification

The User shall indemnify and hold harmless the Company, its directors, officers, employees, consultants, representatives and service providers against claims, losses, liabilities, damages, costs and expenses arising from the User's breach of these Terms, misuse of the Platform, unauthorised use, inaccurate or incomplete information, violation of law or third-party rights, or use or implementation of calculations or designs without required verification, approval or professional supervision.

18. Modification of Terms

The Company may update or modify these Terms to reflect changes in the Platform, services, applicable law, technical requirements or business practices.

Updated Terms shall become effective upon publication on the Platform or website, unless a different effective date is specified.

Continued use of ELCALC after publication of revised Terms shall constitute acceptance of the revised Terms, subject to applicable law.

19. Privacy

The Company's collection and processing of personal data is governed by the Privacy Policy, which forms part of these Terms.

The User should read the Privacy Policy before registering or using ELCALC.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall, to the extent legally permissible, be modified or interpreted to preserve its intended effect, and the remaining provisions shall continue in force.

21. Governing Law and Jurisdiction

These Terms shall be governed by the laws applicable in India.

Subject to applicable law, disputes arising out of or relating to the Platform, subscription, services or these Terms shall be subject to the jurisdiction of the competent courts at Thrissur, Kerala.

23. Acceptance

By registering, accessing, testing, subscribing to or continuing to use ELCALC, the User confirms that the User has read, understood and agreed to these Terms.

PRIVACY POLICY

Effective Date: 3 October 2026

This Privacy Policy explains how Tesla Consulting Engineers (“Company”, “we”, “us” or “our”) collects, uses, stores, protects and discloses personal information in connection with the ELCALC website, mobile application, software and related services (“Platform”).

1. Scope of this Policy

This Privacy Policy applies to information collected through ELCALC, including information provided when a User creates an account, uses the Platform, requests services, purchases a subscription, contacts customer support or otherwise interacts with the Company.

2. Information We Collect

Depending upon the manner in which the Platform is used, we may collect:

Account Information: name, email address, mobile number, username and account credentials.

Business and Billing Information: billing details, transaction information, subscription information and information necessary for invoicing and payment processing.

Project and Technical Information: electrical load details, equipment details, project requirements, specifications, dimensions and other information voluntarily entered by the User for generating calculations or designs.

Device and Usage Information: IP address, browser type, device information, operating system, application information, access times, pages or features used, diagnostic information and similar technical information.

Communication Information: information contained in emails, support requests, feedback and other communications with us.

Payment Information: payment transaction information received from our payment service provider. The Company does not intentionally store complete card numbers, CVV numbers, UPI PINs, banking passwords or other payment credentials.

3. Purpose of Collection and Use

We may process information for the following purposes:

(a) creating and maintaining User accounts;

(b) providing electrical calculation and design services;

(c) generating reports, calculations and other requested outputs;

(d) processing subscriptions and payments;

(e) communicating transaction and service-related information;

(f) providing customer support;

(g) maintaining security and preventing fraud, misuse and unauthorised access;

(h) improving the Platform and its functionality;

(i) maintaining business, accounting and transaction records;

(j) complying with legal, regulatory and governmental requirements; and

(k) performing other purposes disclosed to the User at the time of collection or otherwise permitted by applicable law.

4. Project Information

The User understands that project information submitted to ELCALC may be processed to provide the requested calculations, designs and related services.

The User shall not submit confidential information belonging to another person or organisation unless the User has the necessary authority to do so.

The User remains responsible for ensuring that information submitted through the Platform may lawfully be provided to the Company.

5. Payment Information and Razorpay

Payments may be processed through Razorpay or another authorised payment service provider.

Where Razorpay processes a transaction, payment and transaction information may be processed by Razorpay in accordance with its applicable policies and terms.

The Company does not request or intentionally store the User's complete card number, CVV, UPI PIN, internet-banking password or similar payment credentials on its own systems.

The Company may receive payment status, transaction reference, amount, payment method and related transaction information necessary for reconciliation, customer support and accounting.

6. Disclosure to Service Providers

We may disclose information to service providers who assist us in operating the Platform, processing payments, hosting systems, providing technical support, sending communications, maintaining security or performing other services on our behalf.

Such service providers may process information only to the extent necessary for providing their services and subject to applicable contractual or legal requirements.

7. Legal and Regulatory Disclosures

We may disclose information where reasonably necessary to comply with applicable law, court orders, governmental directions, regulatory requirements, legal proceedings or to protect the rights, property and security of the Company, Users or other persons.

8. Data Security

We implement reasonable technical, organisational and administrative measures intended to protect personal information against unauthorised access, disclosure, alteration, misuse, loss or destruction.

However, no internet-based system can be guaranteed to be completely secure.

The User is responsible for maintaining the confidentiality of account credentials and for promptly informing the Company of suspected unauthorised access.

9. Data Retention

We retain personal information for as long as reasonably necessary for the purposes for which it was collected, including providing services, maintaining business and transaction records, resolving disputes, enforcing agreements and complying with legal or regulatory requirements.

When information is no longer required and there is no legal or legitimate reason for continued retention, it may be deleted, anonymised or otherwise disposed of in accordance with applicable law and our retention practices.

10. User Rights

Subject to applicable law, Users may have rights concerning their personal data, including rights relating to access to information, correction, withdrawal of consent, erasure and grievance redressal.

Where processing is necessary for a purpose permitted by law independently of consent, withdrawal of consent may not require the Company to stop all processing.

11. Withdrawal of Consent

Where processing is based on consent, the User may withdraw consent through the method made available by the Company.

Withdrawal of consent shall not affect processing already lawfully undertaken before withdrawal and may affect the Company's ability to provide certain services where such processing is necessary for the service.

12. Cookies and Similar Technologies

The Platform may use cookies and similar technologies to maintain sessions, remember preferences, analyse usage, improve functionality, maintain security and support essential Platform operations.

Users may control cookies through their browser or device settings, although disabling certain cookies may affect Platform functionality.

13. Communications

We may send service-related communications such as account notifications, payment confirmations, subscription information, security alerts and support responses.

Where marketing communications are sent, the User may opt out through the mechanism provided in the communication, subject to legally permitted service communications.

14. Children's Data

ELCALC is intended for persons capable of entering into legally binding arrangements under applicable law.

We do not knowingly seek personal information from children in circumstances where such collection is prohibited by applicable law.

15. Changes to this Privacy Policy

We may update this Privacy Policy from time to time.

The revised Policy shall be published on the Platform with an updated effective date. Where required by law, appropriate notice or consent will be obtained for material changes.

PRICING & SUBSCRIPTION POLICY

This Pricing & Subscription Policy sets out the pricing and subscription principles applicable to the ELCALC Platform operated by Tesla Consulting Engineers.

1. ELCALC Subscription

ELCALC provides access to electrical calculation and design assistance features through subscription plans displayed on the Platform.

The applicable plan, subscription period, features and charges shall be clearly displayed to the User before payment is completed.

2. Trial Period

Where a trial is offered, the duration and features available during the Trial Period shall be displayed on the Platform.

The trial is provided to allow the User to evaluate the suitability of ELCALC before purchasing a paid subscription.

3. Payment

Payments may be made through the payment methods made available through the Platform, including Razorpay-enabled payment methods.

The User shall be responsible for ensuring that the payment information supplied during the transaction is accurate.

4. Subscription Activation

Subject to successful payment confirmation, the applicable subscription will ordinarily be activated electronically through the User's ELCALC account.

Where payment has been successfully completed but activation does not occur because of a technical issue, the User may contact customer support.

5. Subscription Validity

A subscription remains valid for the period specified at the time of purchase.

The subscription shall not ordinarily be extended because the User does not use the Platform for part of the subscription period.

6. Automatic Renewal

Where automatic renewal is specifically offered and selected by the User, the applicable renewal amount may be charged through the authorised payment mechanism in accordance with the selected renewal cycle.

The User may cancel automatic renewal before the next scheduled renewal.

7. Price Changes

The Company may change future subscription prices, plans, features and usage limits.

Price changes shall ordinarily apply prospectively and shall not alter a subscription period already purchased, unless otherwise permitted by law or expressly agreed.

8. Taxes

All applicable taxes, including GST where applicable, shall be charged in accordance with prevailing law and the tax treatment applicable to the transaction.

9. Refunds

Refunds and cancellations are governed by the separate Cancellation & Refund Policy available on the Platform.

10. Pricing Errors

If a material pricing or technical error results in an incorrect price being displayed, the Company reserves the right to correct the error before completion of the transaction.

Where payment has already been received due to such an error, the Company shall take appropriate steps in accordance with applicable law and the Cancellation & Refund Policy.

Account Deletion

Before you delete your ELCalc account, please note that this action cannot be undone. Once the account is deleted you will not be able to recover your profile, saved reports, customer or site names, or subscription details.

Deleting your account permanently removes your data from ELCalc. An active subscription is not refunded.

Delete Account Request

Payment and invoice records may be kept where the law requires.

CANCELLATION & REFUND POLICY

Effective Date: 3 October 2026

This Cancellation & Refund Policy applies to subscriptions and paid services purchased through the ELCALC website or mobile application operated by Tesla Consulting Engineers (“Company”, “we”, “us” or “our”).

1. Trial and Evaluation

ELCALC may be made available on a trial or evaluation basis before purchase.

Users are encouraged to test the available features and assess the suitability of ELCALC for their requirements during the Trial Period.

2. Subscription Purchase

Once the User completes or utilises the available trial/evaluation facility and purchases, activates or renews a paid subscription, the User is deemed to have had an opportunity to evaluate the Platform.

Accordingly, subscription payments are generally non-refundable, except where a refund is required by applicable law or falls within an expressly approved refund circumstance under this Policy.

3. Cancellation of Future Renewal

The User may cancel or disable automatic renewal before the next scheduled renewal date through the applicable cancellation facility or by contacting the Company.

Cancellation of automatic renewal will normally prevent the next renewal payment.

Unless otherwise stated in the applicable subscription plan, cancellation of future renewal does not terminate an already-paid subscription period immediately.

4. No Refund for Non-Use

No refund shall ordinarily be payable merely because the User:

(a) does not use the Platform after purchase;

(b) uses the Platform only partially;

(c) changes project requirements;

(d) decides not to continue using the Platform;

(e) fails to use the subscription within the subscription period; or

(f) is dissatisfied with the Platform after having purchased the subscription following the available trial/evaluation opportunity.

5. Possible Refund Circumstances

A refund may be considered where:

(a) the User has been charged more than once for the same transaction due to a technical or payment error;

(b) payment has been successfully received but the subscription has not been activated due to an error attributable to the Company;

(c) the Company expressly approves a refund in a particular case;

(d) a refund is required under applicable law; or

(e) any other circumstance expressly specified in the applicable subscription plan.

6. Duplicate Payment

Where the same subscription or service has been inadvertently charged more than once for the same transaction, the Company may refund the duplicate amount after verification.

7. Technical Failure

Where a User has made a successful payment but the purchased subscription has not been activated because of a technical error attributable to the Company, the Company may, after verification, either activate the subscription or process an appropriate refund.

9. Refund Processing Time

An approved refund shall ordinarily be initiated within [7] business days from approval of the refund request.

The time taken for the refunded amount to appear in the User's bank account, card account or other payment instrument may depend upon the relevant bank, card network, payment service provider or other financial institution.

10. Refund Method

Where a refund is approved, the refund shall ordinarily be processed through the original payment method or in the manner permitted by the applicable payment service provider and law.

Refunds shall not ordinarily be made to a payment instrument unrelated to the original transaction.

11. Razorpay Transactions

Where payment has been processed through Razorpay, the Company may use Razorpay's payment and refund mechanisms for processing an approved refund.

The Company's refund decision remains subject to this Policy and applicable law. Razorpay's processing timelines may depend on the payment method and banking/payment infrastructure.

12. Taxes and Charges

Where a refund is legally or commercially required, the treatment of taxes, transaction charges and other amounts shall be determined in accordance with applicable law, the applicable invoice and the circumstances of the refund.

13. Chargebacks and Payment Disputes

Users are requested to contact the Company first regarding any transaction issue or refund request so that the matter can be investigated and resolved.

Nothing in this Policy restricts any statutory right or remedy available to the User.

14. Modification of Policy

The Company may modify this Policy from time to time. The version applicable to a transaction shall ordinarily be the version displayed at the time the transaction is completed, subject to applicable law.

SHIPPING & DELIVERY POLICY

Effective Date: 3 October 2026

1. Nature of Service

ELCALC is a digital platform operated by Tesla Consulting Engineers for electrical calculations, electrical design assistance and related digital services.

The Company does not ordinarily sell or dispatch physical goods through ELCALC.

2. No Physical Shipping

Since the services are provided electronically through the ELCALC website and/or mobile application, no physical shipping or courier delivery is applicable.

Accordingly, the Company does not charge shipping or delivery charges for the standard digital subscription service.

3. Digital Service Delivery

After successful payment and activation, access to the applicable ELCALC subscription or digital service is provided electronically through the User's registered account or through the Platform.

Where the service includes generation of calculations, designs, reports or other digital outputs, such outputs may be made available through the User account, Platform interface, download facility or other electronic method specified by the Company.

4. Delivery Time

Subscription access shall ordinarily be made available after successful payment confirmation and activation.

Where a technical issue prevents access despite successful payment, the User may contact:

5. Failure of Digital Delivery

If payment has been successfully completed but the purchased service has not been made available because of a technical issue attributable to the Company, the Company shall investigate the matter and, where appropriate, restore access or provide an applicable remedy under the Cancellation & Refund Policy.

6. User Responsibility

The User is responsible for maintaining a functioning internet connection, compatible device, updated software/browser and accurate account information necessary to access ELCALC.

The Company shall not be responsible for delivery or access failures caused solely by the User's device, internet service provider, network, browser, operating system or other third-party infrastructure.
